Partner Program Terms

1. What this program is

This is a referral program. You introduce a prospective customer to Omni AI ("Omni"); Omni contracts with, bills, delivers to, and supports that customer directly. You are an independent party, not an agent, employee, reseller, or joint venturer of Omni, and you have no authority to make representations, warranties, commitments, or pricing offers on Omni's behalf.

This program does not grant white-label, rebranding, sublicensing, or resale rights. Omni's services are delivered under the Omni AI brand.

2. Commission

Omni pays 25% of the net subscription revenue actually received from each qualifying referred customer, recurring for as long as that customer's subscription remains active and paid. "Net" means amounts received after discounts, credits, refunds, chargebacks, and payment-processing fees. Commission is not paid on taxes, one-time setup charges, usage overages, or payment-processing fees Omni collects on a customer's behalf.

Your commission rate is recorded on your partner record. Omni may vary the rate offered to new partners at any time; a change does not reduce the rate on customers already referred under a prior rate.

3. Attribution

A customer is attributed to you when they reach Omni through your unique referral link and complete a paid subscription. Attribution is recorded automatically at checkout. Where a customer is already an Omni customer, is already in an active Omni sales conversation, or arrives through more than one partner link, Omni resolves attribution in good faith and its determination is final. First attributed link wins in the case of multiple partner links.

4. Payment

Commission accrues when Omni receives the customer's payment and clears any applicable refund window. Accrued commission is paid monthly in arrears, typically within 30 days of the close of the month in which it accrued, subject to a minimum payout balance of $50. Balances below the minimum roll forward.

You are responsible for your own taxes. Omni may require a completed tax form (for example a W-9) and valid payment details before issuing any payment, and may withhold payment until it receives them.

5. Cancellation, refund, and chargeback

Commission follows the underlying subscription. If a referred customer cancels, their commission stops with the subscription. If Omni refunds an invoice or incurs a chargeback, the commission attributable to that invoice is reversed and offset against your next payout. Commission already paid on invoices that were themselves paid and kept is not clawed back.

6. How you may promote Omni

You must not:

• send unsolicited bulk email, SMS, or automated calls promoting Omni, or otherwise violate CAN-SPAM, the TCPA, or any applicable marketing law;
• bid on Omni's brand terms in paid search, or run ads that impersonate Omni;
• represent Omni as white-label, as integrating with GoHighLevel, or as having any capability it does not have;
• state pricing, guarantees, performance figures, or customer results that Omni has not published;
• register domains, social accounts, or app listings using Omni's name or marks.

Omni grants you a limited, revocable, non-exclusive licence to use its name and logo solely to refer customers under this program, subject to any brand guidance Omni provides.

7. Confidentiality and customer data

Non-public information Omni shares with you about the program, pricing, or roadmap is confidential. Any personal data you share with Omni about a prospective customer must have been collected lawfully and with any consent required for you to share it.

8. Term, termination, and fraud

Either party may end participation at any time, for any reason, on written notice. Commission on customers referred before termination continues to accrue while those customers remain active and paid, unless the termination is for breach of Section 6 or for fraud.

Omni may withhold or reverse commission, and terminate participation immediately, where it reasonably determines that referrals were generated by fraud, self-referral, incentivised or fake signups, spam, or misrepresentation of Omni's capabilities.

9. No warranty, limitation of liability

The program is provided as is. Omni does not guarantee any level of earnings, conversion, customer retention, or program continuity. To the maximum extent permitted by law, Omni's total liability arising out of this program is limited to the commission actually payable to you in the twelve months preceding the claim, and Omni is not liable for indirect or consequential loss, including lost profits.

10. Changes and governing law

Omni may update these terms; material changes take effect for future referrals from the date the updated terms are posted here. Continued participation after that date constitutes acceptance. These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules.
